EXPLANATORY NOTE
This registration statement on Form S-8 (Registration Statement) is being filed pursuant to the General Instruction E to Form S-8 for the purpose of registering an aggregate of 20,000,000 additional Class A ordinary shares, par value US$0.00001 per share (the Class A Ordinary Shares) of XPeng Inc. (the Registrant), which are reserved for issuance under the Registrants Second Amended and Restated 2019 Equity Incentive Plan (the 2019 Plan). These 20,000,000 additional Class A Ordinary Shares are of the same class as other securities for which registration statements on Form S-8 were filed on December 29, 2020 (File No. 333-251792, the 2020 S-8 Registration Statement) and on June 21, 2022 (File No. 333-265733, the 2022 S-8 Registration Statement, jointly with the 2020 S-8 Registration Statement, the Existing S-8 Registration Statements), respectively, with the Securities and Exchange Commission (the Commission), but were not registered under the Existing S-8 Registration Statements. An aggregate of 23,000,000 Class A Ordinary Shares in the capital of the Registrant were previously registered for the issuance under the 2019 Plan pursuant to the Existing S-8 Registration Statements. Pursuant to the General Instruction E to Form S-8, the contents of the Existing S-8 Registration Statements are incorporated by reference into this Registration Statement, except as otherwise set forth herein.

Cayman Islands law does not limit the extent to which a companys articles of association may provide for indemnification of directors and officers, except to the extent any such provision may be held by the Cayman Islands courts to be contrary to public policy, such as to provide indemnification against civil fraud or the consequences of committing a crime. The Registrants ninth amended and restated memorandum and articles of association, adopted by a special resolution of its shareholders on June 20, 2023, provides that the Registrant shall indemnify each of its directors and officers against all costs, losses, damages and expenses incurred or sustained by such persons in their capacity as such, except through any fraud or dishonesty.

Pursuant to the indemnification agreement, the form of which was filed as Exhibit 10.1 to the Registrants Registration Statement on Form F-1 (Registration No. 333-242283), as amended, initially filed with the Commission on August 7, 2020, the Registrant has agreed to indemnify its directors and officers against certain liabilities and expenses incurred by such persons in connection with claims made by reason of their being such directors or officers of the Registrant.
Pursuant to the 2019 Plan, which was filed as Exhibit 14.17 to the Registrants annual report on Form 20-F for the fiscal year ended December 31, 2023, filed with the Commission on April 17, 2024 (File No. 001-39466), the Registrant has agreed to indemnify the administrator of the 2019 Plan (the Administrator), or any individual member of the compensation committee of the board of directors of the Registrant (the Board) or the Board acting as the Administrator against certain liabilities and expenses incurred by such persons in connection with claims made by reason of any action or failure to act pursuant to the 2019 Plan.
Insofar as indemnification for liabilities arising under the Securities Act may be permitted to directors, officers or persons controlling the Registrant pursuant to the foregoing provisions, the Registrant has been informed that in the opinion of the Commission such indemnification is against public policy as expressed in the Securities Act and is therefore unenforceable.
